NCC Issues 45-Day Deadline to Telecom Operators Over Unapproved Shareholding Changes

The Nigerian Communications Commission (NCC) has issued a 45-day ultimatum to licensed telecommunications operators to regularise any unapproved changes in their shareholding structures.

In a notice published on its official platform, the NCC said the directive applies to ownership transfers of 10 per cent or more executed without prior regulatory approval. The grace period covers both recent and historical transactions that failed to receive consent before implementation.

The Commission explained that prior approval for significant changes in ownership or control is mandatory under the Nigerian Communications Act, 2003, as well as Regulations 41, 42 and 43 of the Licensing Regulations, 2019. According to the regulator, failure to comply with these provisions undermines transparency and weakens effective oversight of the telecommunications sector.

The NCC said the 45-day window is intended to allow operators voluntarily disclose and correct any breaches without immediate penalties. However, it warned that once the deadline expires, strict enforcement measures will apply in line with the Nigerian Communications Enforcement Processes and other applicable regulations. Sanctions may include fines and additional regulatory actions.

Industry analysts say the move signals a renewed effort by the NCC to strengthen corporate governance, ensure clarity in telecom ownership structures, and prevent practices that could distort competition or threaten sector stability.

Telecom operators have been advised to engage promptly with the Commission, submit required documentation, and regularise their shareholding positions before the compliance period lapses.

The NCC is the statutory regulator of Nigeria’s telecommunications industry, responsible for licensing, supervision, consumer protection, and enforcement of regulations to promote fair competition and accountability across the sector.
